Public Offer

This document is the official offer (public offer) of the Operator of the PartnerPortal service (the «Contractor»), addressed to any individual or legal entity (the «Customer»), to enter into a paid-services contract on the terms set out below.

Under Article 395 of the Civil Code of the Republic of Kazakhstan, performing any of the actions listed in Section 3 of this Offer constitutes acceptance and is equivalent to entering into a written contract.

The Contractor provides the Customer with remote access to the PartnerPortal SaaS platform — software for creating and managing affiliate (referral) programs.

The Service is provided on a subscription basis under one of three plans. The Customer's subscription cost is:

• Start — 25,000 (twenty-five thousand) tenge per month or 240,000 (two hundred forty thousand) tenge per year. Includes: 1 company, 3 affiliate programs, up to 50 partners.
• Business — 50,000 (fifty thousand) tenge per month or 480,000 (four hundred eighty thousand) tenge per year. Includes: 5 companies, 10 affiliate programs, up to 500 partners.
• Max — 100,000 (one hundred thousand) tenge per month or 960,000 (nine hundred sixty thousand) tenge per year. Includes: an unlimited number of companies, affiliate programs and partners.

All prices are quoted in the national currency of the Republic of Kazakhstan — tenge. VAT is not applied under the tax regime used by the Contractor.

Each plan includes access to analytics features, data export and the API within the limits of the selected plan.

Acceptance of this Offer is recognised as any of the following actions:

• registering an account at www.partnerportal.kz;
• paying for the chosen subscription plan;
• actual use of the paid features of the Service.

From the moment of acceptance, a contract is deemed concluded between the Contractor and the Customer under the terms of this Offer, the Terms of Service and the Privacy Policy.

Payment is made with 100% prepayment by bank transfer to the Contractor's account or via connected payment systems (Kaspi, bank transfer, and other available methods).

Services are deemed rendered, and payment accepted, from the moment funds reach the Contractor's account and the corresponding subscription is activated in the Customer's account.

When the paid period ends, the Customer may renew the subscription. If payment is not made, access to paid features of the Service is suspended; data is retained for 90 calendar days, after which it may be deleted.

PartnerPortal is a SaaS (Software as a Service) platform. The service is delivered remotely as access to software over the internet; no physical delivery is provided.

Access to the Service is granted immediately upon payment confirmation — the corresponding subscription is activated automatically in the Customer's account, and an activation notification is sent to the Customer's email.

The Customer accesses the Service through their personal dashboard at www.partnerportal.kz, signing in with the login and password specified at registration.

Subscription payment is processed as follows:

1. The Customer selects a suitable plan in the «Pricing» section of the website or personal dashboard.
2. The Customer proceeds to payment and confirms the order.
3. Payment is made with a Visa or Mastercard bank card on the secure page of the payment provider.
4. Once the transaction is confirmed, the Customer receives an email notification of successful payment.
5. The subscription is activated automatically, and the Customer immediately gains access to all paid features of the Service.

Payments are processed via a payment provider. Card data is not stored on PartnerPortal servers.

Subscription fees are non-refundable, except where the Contractor is responsible for the technical impossibility of providing the services for more than 5 consecutive business days. In that case the Customer may demand a pro-rata refund for the unused period.

The rights and obligations of the parties are governed by the Terms of Service, which form an integral part of this contract.

The Contractor is not liable for the Customer's obligations to its partners to pay affiliate rewards. The Service only records accruals; the Customer transfers funds to partners themselves.

Failure to perform or improper performance of obligations entails liability under the laws of the Republic of Kazakhstan.

The Contractor's total aggregate liability to the Customer is limited to the amount actually paid by the Customer under this contract over the past 12 months.

The Contractor is not liable for lost profits, indirect damages or other similar losses of the Customer.

The contract enters into force from the moment of acceptance and is valid for the paid subscription period. The Customer may terminate the contract unilaterally by deleting the account in the «Settings» section.

The Contractor may terminate the contract unilaterally if the Customer breaches the terms of the Offer or the Terms of Service, by sending notice to the Customer's email.

The Contractor may unilaterally amend the terms of the Offer and pricing. Changes take effect from the moment they are published at www.partnerportal.kz/offer. Material changes are communicated to the Customer by email at least 14 calendar days in advance.

Continued use of the Service after changes take effect signifies the Customer's agreement with the updated terms.

This Offer is governed by the laws of the Republic of Kazakhstan. All disputes are resolved by negotiation and, failing that, in court at the Contractor's location.

The subscription to the Service is arranged on the terms of recurring (regular automatic) payments:

• Charge amounts. Start — 25,000 ₸ per month or 240,000 ₸ per year; Business — 50,000 ₸ per month or 480,000 ₸ per year; Max — 100,000 ₸ per month or 960,000 ₸ per year.
• Charge frequency. Depending on the chosen plan, the charge is made monthly (for a monthly subscription) or annually (for an annual subscription).
• Term. 1 calendar month for a monthly subscription or 12 calendar months for an annual subscription. When the paid period ends, the subscription is automatically renewed for the next equivalent period with a further charge.
• Cancellation condition. The subscription is not renewed and the automatic charge is not made if the Customer cancels the subscription before the end of the current paid period.
• How to cancel. You can cancel the subscription yourself in your personal dashboard: «Settings» → «Plan» tab → «Cancel subscription» button. Access to paid features is retained until the end of the period already paid for.
